Terms of Service

1. Acceptance of Terms
By accessing or using Procrasticoder (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Procrasticoder LLC ("Company," "we," "us," or "our"). If you do not agree to these Terms, do not use the Platform.
By checking the acceptance box during registration, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
2. Eligibility
You must be at least 18 years of age to use the Platform. By creating an account, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Platform under any applicable law.
If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Registration and Security
You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized use of your account. We will verify your email address via a one-time code sent to the address you provide. Accounts with unverified email addresses may have limited functionality.
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.
4. Seller Responsibilities
As a seller on Procrasticoder, you agree to the following:
- IP Ownership: You represent and warrant that you own all intellectual property rights in the projects you list, or have the legal right to sell or license them. You must not list projects that contain code, assets, or content to which you do not hold appropriate rights.
- Accurate Descriptions: Listings must accurately describe the project, its completion status, tech stack, known issues, and the reason development was abandoned. Deliberately misleading buyers is grounds for account termination and may result in mandatory refunds.
- No Prohibited Content: You may not list projects that contain malware, backdoors, illegal functionality, or code that violates applicable laws or third-party rights.
- Exclusive Sales: If you list a project as Exclusive, you agree to sell it only once and to transfer sole ownership to the buyer upon completed payment. You may not re-list, re-sell, or retain copies for commercial use after an Exclusive sale is completed.
- File Delivery: You are responsible for ensuring that uploaded project files are complete, accessible, and match the listing description.
5. Buyer Responsibilities
As a buyer, you agree to:
- Use purchased projects only in accordance with the sale type (Exclusive or Non-Exclusive) as defined in Section 6.
- Not redistribute, resell, or re-list purchased project files on any platform without the seller's explicit written consent (unless such rights are explicitly granted in a Non-Exclusive sale).
- Not submit fraudulent refund requests.
- Conduct your own due diligence before purchasing. The Platform does not guarantee the quality, completeness, or fitness for purpose of any listed project.
6. Exclusive vs. Non-Exclusive Sales
Procrasticoder supports two distinct sale types, chosen by the seller at the time of listing:
Exclusive Sale
The project is sold once to a single buyer. Upon completed payment, the buyer receives sole commercial ownership of the project. The listing is automatically removed from the Platform. The seller retains no commercial rights to the project after the sale. This is equivalent to a full asset transfer.
Non-Exclusive Sale
The project is made available as a license that may be purchased by multiple buyers. Each buyer receives a non-exclusive, non-transferable license to use the project. The seller retains ownership and may continue to sell the same project to others. Buyers may not resell or sublicense the project files.
7. Payments and Fees
All payments are processed through Stripe. By using the Platform as a seller, you agree to Stripe's Terms of Service and Connected Account Agreement.
- Platform Fee:Procrasticoder retains 10% of each completed sale as a platform fee. Sellers always receive exactly 90% of the sale price. Stripe processing fees are absorbed by the platform and do not reduce the seller's payout.
- Payouts:Seller payouts are governed by Stripe's payout schedule and your Stripe Connect account settings.
- Taxes: You are solely responsible for determining and paying any taxes applicable to your sales or purchases. The Platform does not collect or remit taxes on your behalf.
- Currency: All prices are listed and charged in US Dollars (USD).
8. Refund Policy
We want buyers to feel confident purchasing on Procrasticoder. Our refund process is designed to be fair to both buyers and sellers.
- Eligibility Window: Buyers may submit a refund request within 48 hours of their purchase. Requests submitted after this window will not be considered.
- Reason Required: All refund requests must include a written explanation. Requests without a reason will not be processed.
- Seller Dispute Period: Upon receiving a refund request, the seller is notified and has 7 calendar days to dispute the request with a written response.
- Auto-Approval: If the seller does not dispute within 7 days, the refund is automatically approved, processed via Stripe, and — if the listing was Exclusive — the project is automatically re-listed for sale.
- Disputed Refunds:If the seller disputes the request, the matter is escalated to Procrasticoder staff for review. We will evaluate both the buyer's reason and the seller's response and issue a final decision. Our decision is final.
- Processing Time: Approved refunds are returned to the original payment method and typically appear within 5–10 business days depending on your bank.
9. Prohibited Content
You may not list, sell, or distribute projects that:
- Contain malware, spyware, ransomware, or any malicious code
- Are designed to facilitate illegal activity
- Infringe on third-party intellectual property rights
- Contain adult content, hate speech, or discriminatory material
- Violate any applicable local, state, federal, or international law
- Impersonate another product, service, or person
We reserve the right to remove any listing and suspend any account that we determine, at our sole discretion, to be in violation of these prohibitions.
10. Intellectual Property
Procrasticoder and its logos, design, and content are the intellectual property of Procrasticoder LLC. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding.
Sellers retain ownership of their listed projects unless and until an Exclusive sale is completed, at which point ownership transfers to the buyer as described in Section 6.
By listing a project on the Platform, you grant Procrasticoder a limited, non-exclusive license to display your listing information (title, description, screenshots, tagline) for the purpose of operating and promoting the Platform.
11. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT LISTED PROJECTS ARE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCRASTICODER LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION CONDUCTED THROUGH IT.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
12. Dispute Resolution
Any disputes between you and Procrasticoder LLC shall first be attempted to be resolved through informal negotiation. You agree to contact us at legal@procrasticoder.com before initiating any formal proceedings.
If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. You waive your right to participate in a class action lawsuit or class-wide arbitration.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
13. Termination
We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or at our discretion with or without notice. You may terminate your account at any time by contacting support.
Upon termination, your right to use the Platform ceases immediately. Sections 6, 10, 11, and 12 survive termination.
14. Changes to Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page and notify registered users by email. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
If we make material changes, we may require you to re-accept the Terms before continuing to use the Platform.
